Website Care — Terms of Service
Version 1.0 · effective 2026-09-02
Download this versionThese terms govern the Website Care service. They are accepted electronically, before payment. No signature is required. The version and date above are recorded together with the acceptance.
1. Provider
PLSoft, Paweł Lipowczan, sole proprietorship registered in Poland (NIP 5482378017, REGON 240836787), dr. Michała Grażyńskiego 15, 43-450 Ustroń, Poland. Contact for service matters: pawel@lipowczan.pl.
2. Customer
The business that accepts these terms and pays the subscription. The service is offered to businesses only. It is not offered to consumers.
3. What the service is
The Provider operates the Customer's website on the Provider's infrastructure and looks after it. The service covers:
a) hosting and day-to-day operation of the website; b) monitoring availability and responding to outages; c) automated import of listings from the Customer's feed, where the website uses one; d) fixing anything on the website that does not work as agreed, without a time limit.
What is included, and the limits that come with it. The website runs on infrastructure the Provider buys from third parties. Three parts of it carry limits set by those providers, not by the Provider:
| Website Care | Website Care Plus | |
|---|---|---|
| Database | shared free plan — currently 500 MB of data and 50,000 monthly active users | paid plan dedicated to the Customer — currently 8 GB of data |
| Files (photos, documents) | currently 1 GB stored and 5 GB of traffic per month | currently 100 GB stored and 250 GB of traffic per month |
| E-mail sent by the website | currently 3,000 messages per month, no more than 100 in a day | currently 3,000 messages per month, no more than 100 in a day |
These are the providers' published allowances on the effective date of this version. They may change on the providers' side. Where one paid plan serves several customers, its allowance is shared between them; the Provider watches the total and acts under the next paragraph before any limit is reached.
Nothing that costs the Customer more happens without the Customer's agreement. If the Customer's use approaches or exceeds any of these limits, the Provider will inform the Customer and propose the change — moving to Website Care Plus, or a paid plan for files or for e-mail — before it takes effect. The Provider does not move any part of the service to a paid plan, and does not charge for it, without the Customer's prior agreement. Where the Customer does not agree, the provider's own restrictions may apply to the website — it may stop sending e-mail, or stop serving photos — and the Provider is not liable for that.
In the Website Care + AI tier, the service additionally covers:
e) operation of the AI assistant that answers visitors on the website.
While this agreement is in force, no separate warranty period is counted and no defect is charged for.
Changes the Customer asks for are not part of the service. A change that takes a few minutes — a phone number, a line of text, a photo — is simply done and not invoiced. Anything larger is quoted first and started only once the Customer agrees, under clause 4.
4. What the service is not
Anything beyond clause 3 — changes, new sections, additional projects, additional feeds, redesigns, integrations — is quoted and invoiced separately at the Provider's rate card in force. No such work starts without the Customer's approval.
5. Price and payment
The service is offered in two tiers, chosen by the Customer at sign-up:
| Tier | Price |
|---|---|
| Website Care | EUR 29 per month |
| Website Care Plus (dedicated database plan) | EUR 52 per month |
| AI assistant, added to either tier | EUR 5 per month |
The price is payable monthly in advance, via the payment link provided by the Provider. The Customer may move between tiers at any time, with effect from the next billing period.
The AI tier price covers ordinary use of the AI assistant. If usage consistently exceeds what that price covers, the Provider will inform the Customer and propose a new price before any change takes effect. No amount beyond the agreed monthly price is ever charged without the Customer's prior agreement.
An invoice is issued electronically for each period. For customers registered for VAT in an EU member state other than Poland, invoices are issued without Polish VAT under the reverse charge mechanism; the Customer is responsible for accounting for VAT in its own country.
If a payment is more than 14 days late, the Provider may suspend the service after giving the Customer at least 7 days' notice by e-mail. Suspension does not terminate this agreement and does not affect fees already due.
6. Term and termination
This agreement runs for an indefinite period. Either party may terminate it with one month's notice, without giving a reason, by e-mail. Fees paid for the current period are not refunded, and the service runs until the end of the notice period.
Defects after the agreement ends. On the day this agreement ends, a six-month warranty begins. It covers everything delivered up to that day, and during it the Provider fixes free of charge anything that does not work as agreed. The period runs from the end date — a single date known to both parties — not from the delivery of each individual change.
7. Ownership and licence
7.1 Your data is yours. The domain, the database (listings, blog posts, enquiries) and all content are the property of the Customer. The Provider only operates them. Nothing in this agreement transfers ownership of the Customer's data or content to the Provider.
7.2 The software is licensed, not sold. The software the website runs on belongs to the Provider. The Customer receives a perpetual, worldwide, non-exclusive licence to use it for its own business, in the version deployed for the Customer. The licence does not end when this agreement ends.
7.3 Fixes and improvements while the agreement runs. For as long as this agreement is in force, the licence extends to every fix and improvement the Provider makes to that software on its own initiative, at no additional charge. Features built at another customer's request are not included automatically; enabling one for the Customer is separate work under clause 4. When the agreement ends, the Customer keeps the licence to the version in place on that date and stops receiving further changes.
7.4 Work you commission. Work requested by the Customer is quoted and invoiced separately under clause 4. Once delivered, it falls under the same licence as the rest.
7.5 The licence is not exclusive. The Provider keeps all rights to the software and may use it for other customers. The Customer may not resell or sublicense it.
7.6 After the agreement ends the software is provided as it stands, without support or further changes, unless a new agreement says otherwise.
8. Portability
On the Customer's request, the Provider transfers to an account controlled by the Customer, within 14 days and at no charge:
a) the running website, deployed on the Customer's own hosting account; b) the database, with all of the Customer's data; c) the access credentials to both; d) a copy of the source code of the website as deployed for the Customer.
The website runs on a shared codebase that the Provider also uses for other customers. Point (d) is therefore a copy prepared for the Customer, carrying the Customer's own configuration — not access to the Provider's repository, which also holds other customers' configuration. The Customer's rights to that source code are those agreed in the development agreement between the parties; this clause neither widens nor narrows them.
This applies during the term and after termination alike.
9. Availability and liability
The Provider will use reasonable care to keep the website available, but does not guarantee uninterrupted operation. The Provider is not liable for:
a) outages or changes on the side of infrastructure providers; b) the content, accuracy or availability of third-party feeds; c) loss caused by the Customer's own changes or by content the Customer supplies.
The Provider's total liability under this agreement is limited to the fees paid for the three months preceding the event. The Provider is not liable for indirect or consequential loss, including lost profit. Nothing here limits liability that cannot be limited under applicable law.
10. Personal data
Where the website collects personal data (for example through enquiry forms), the Customer is the controller and the Provider is the processor. Their obligations are set out in the Data Processing Agreement, which forms an annex to these terms and is accepted together with them.
11. Changes to these terms
The Provider may change these terms. The Customer will be notified by e-mail at least 30 days before a change takes effect. If the Customer does not accept the change, it may terminate this agreement before the change takes effect, with effect from that date. Continued payment after the effective date counts as acceptance.
12. Governing law and jurisdiction
These terms are governed by Polish law. Any dispute is subject to the exclusive jurisdiction of the Polish court competent for the Provider's registered seat.
13. Acceptance
These terms are accepted by ticking the acceptance box before payment. The Provider records the date, time and the version accepted, and makes the accepted version available to the Customer as a file that can be stored and reproduced.
